These Terms of Service (the “Terms”) govern your access to and use of the website at www.apoint.co.il (the “Site”), provided by A-Point Systems Ltd, a company incorporated in Israel (company registration no. 514562115), with its registered office at HaLapid 12, Petah Tikva, Israel (“A-Point”, “we”, “us”, or “our”).
Acceptance of terms
By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity. If you do not agree, please do not use the Site.
The Site
The Site is the public marketing website of A-Point Systems, an Israeli software house. It describes our services and products, publishes articles and case studies, and lets you contact us. It is not a hosted software product and does not process your business databases.
Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Site. If you submit a contact form or other enquiry, you agree to provide accurate information and to keep it current.
Acceptable use
You may use the Site for lawful purposes only. You agree not to: violate any law or regulation; infringe the rights of others; attempt to access the Site by any method other than the interface we provide; transmit malware; or interfere with the integrity or performance of the Site. We may suspend or block access for conduct we reasonably believe violates these Terms or creates risk or legal exposure for us.
Intellectual property
The Site, including text, graphics, logos, photographs, and code, is owned by A-Point or its licensors and is protected by intellectual-property laws. These Terms do not transfer any ownership rights to you. “A-Point” and “A-Point Systems” are marks of A-Point Systems Ltd. Names of third-party products (including Microsoft, Access, and others) are trademarks of their respective owners; A-Point is independent of and not endorsed by those owners.
You may not reproduce or redistribute Site content without permission, except for the limited right to browse the Site and to share public URLs in the ordinary way.
Third-party services
The Site links to third-party services (for example WhatsApp, Google Maps, and our analytics and advertising partners). We do not control those third parties, and your use of them is subject to their own terms. We are not responsible for third-party sites or software.
Disclaimers
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, secure, or that it will meet your requirements.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, A-POINT AND ITS DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SITE. A-POINT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US, IF ANY, IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ILS 400. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
Indemnification
You agree to indemnify and hold harmless A-Point from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Site or your violation of these Terms.
Termination
You may stop using the Site at any time. We may suspend or stop providing the Site if you breach these Terms, if required by law, or if continuing to operate it becomes commercially impracticable. Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) survive termination.
Governing law and disputes
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles. The competent courts of Tel Aviv–Jaffa, Israel will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, except that we may seek injunctive relief in any competent court. Nothing in this section deprives a consumer of mandatory protections under the law of their country of residence.
Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “last updated” date above. Material changes will be communicated through the Site where appropriate. Your continued use of the Site after changes take effect constitutes acceptance.
